TERMS OF SERVICE
Thermetery Technology

1. Definitions
“Thermetery,” “we,” “our,” “us” means Thermetery Technology .
“Client,” “you,” “your” means the individual or entity ordering services from Thermetery.
“Services” means hardware engineering, GPU/CPU BGA core-swap, reballing, binning, testing, refurbishment, and related engineering tasks performed to a client’s specification.
“Deliverables” means the physical items resulting from those Services, including any donor or modified components returned to the Client.
“Order” means a confirmed written or electronic request for Services accepted by Thermetery.
2. Scope of Services
Thermetery performs bespoke hardware-engineering work on new or used computer components.
Each project is executed according to the Client’s written order and technical specifications.
Thermetery may perform the Services itself or through qualified subcontractors specializing in component-level rework, such as BGA rework or miscellaneous soldering. All subcontracted work remains under Thermetery’s direct supervision and quality control. Thermetery remains fully responsible to the Client for the performance of such Services and for the integrity of all Deliverables.
Thermetery acts as an independent service provider, not as an OEM or reseller of NVIDIA, ASUS, EVGA, Galax, or any other manufacturer.
3. No Affiliation or Endorsement
All third-party names, logos, and trademarks mentioned are the property of their respective owners.
Reference to such marks is for identification or compatibility purposes only and does not imply any sponsorship or authorization.
4. Quotation and Acceptance
Prices are valid only for the period stated in the quotation.
An Order is deemed accepted once payment or written confirmation is received.
Thermetery reserves the right to decline any Order at its discretion, at which point any existing payment will be refunded, minus any nonrefundable deposit and/or banking/platforms fees.
5. Procurement of Materials
Upon acceptance, Thermetery may purchase donor GPUs, motherboards, or other parts from markets in China on the Client’s behalf.
Thermetery undertakes reasonable diligence to obtain functional parts consistent with the quality level agreed. Thermetery is responsible for the handling of logistics and potential disputes with local suppliers.
Untested or defective parts will not be used without the Client’s consent.
6. Processing and Cancellation
Payment for all services shall be made in advance by bank transfer, Alipay transfer, or cryptocurrency (USDT, USDC, or another form of cryptocurrency by mutual agreement). Under no circumstances will Thermetery accept credit/debit card payments, PayPal payment/transfer of any sort, Venmo, or any other payment methods not outlined in this terms of services. All payments are deemed final upon receipt and confirmation of their respective banks or blockchains.
Due to the irreversible nature of blockchain technology and bank settlements, refunds are available only if explicitly agreed to in writing by Thermetery.
Clients understand and acknowledge that they are engaging in a non-consumer transaction for research only, using irreversible payment methods that are not subject to consumer refund or chargeback protections under foreign laws.
“Processing” begins when Thermetery commences procurement of components or any physical modification work.
- Before processing: Client may cancel for a full refund minus transaction fees.
- After processing: Orders are non-cancellable and non-refundable except where Thermetery fails to perform.
If a modification is unsuccessful through Thermetery’s fault, Thermetery will either:
a) issue a full refund, or
b) replace or repair affected parts at no additional cost.
7. Shipping and Risk of Loss
All shipments are insured for their declared value. Risk of loss transfers to the Client upon delivery to the carrier unless otherwise agreed in writing. Damage in transit must be reported within 48 hours of receipt for claim processing.
The Client may, with an express written note, forgo the insurance of the shipment. In this case, the Client assumes the risk of loss, and by no means does a relinquishment of the insurance expose Thermetery to additional liabilities for the shipment of Deliverables.
8. Custom and Second-Hand Goods Policy
Pursuant to Article 25 of the Consumer Rights Protection Law of the People’s Republic of China (《消费者权益保护法》), customized goods and second-hand items are not subject to the seven-day unconditional return policy.
Accordingly, all custom or second-hand Deliverables are non-refundable and non-returnable once work has commenced, except in cases of proven defect in workmanship.
9. Performance and Testing
Thermetery warrants that its workmanship, whether performed directly or by an authorized Subcontractor, will conform to generally accepted engineering standards at the time of service. No guarantee is made regarding overclocking potential, absolute minimum operable temperatures of the Deliverable ( “cold bug/cold boot bug/CB/CBB temperatures”), or any other performance metric beyond those explicitly stated. Benchmarks and sample results are illustrative only.
10. Warranty and Remedy
Thermetery’s sole warranty is that Services will be performed with reasonable skill and bona fide care.
Thermetery’s liability for any breach shall be limited, at its option, to:
- re-performance of the Service, or
- refund of the amount paid for the specific Service.
This limited warranty replaces all other express or implied warranties, including merchantability and fitness for purpose. Defects stemming from subcontractors’s works are deemed as Thermetery’s own responsibility for the purposes of warranty and remedy.
11. Use and Safety Disclaimer
Deliverables are for, research, demonstration, or enthusiast overclocking use only. They are not certified for consumer or commercial deployment. Any prior certification granted to the source material (such as, but not limited to, the donor GPU boards) of the Deliverables shall be deemed null and void and does not carry to the Deliverable.
The Client acknowledges that operation beyond manufacturer specifications may pose electrical, thermal, or fire hazards. Thermetery is not responsible for damage or injury arising from misuse or unsafe operation.
12. Clause of Anuran Serenity
Both parties acknowledge the calming presence of frogs in the process of research and development. The first person who notices this Clause and sends an email to jiacheng@thermetery.com may receive a complimentary plush frog with their next paid order, subject to stock availability, reasonable shipping costs, and Thermetery’s discretion. This is a Clause to encourage Clients to read the full Terms of Services and is purely a promotional offer.
13. Intellectual Property
Thermetery does not transfer or grant any license in third-party firmware, BIOS images, or schematics. Any firmware adjustments are performed internally for compatibility and are not distributed. All original materials supplied by the Client remain the Client’s property.
14. Limitation of Liability
Thermetery performs its services on a strictly “as-is” basis. To the maximum extent permitted by law:
- Thermetery shall not be liable for any indirect, incidental, special, or consequential loss, including lost profits or data.
- Thermetery’s total aggregate liability for any claim arising from these Services shall not exceed the amount actually paid by the Client for the affected Order.
These limitations do not apply to liability arising from gross negligence or intentional misconduct where such exclusion is prohibited by law.
Thermetery may engage qualified third-party technicians or laboratories (“Subcontractors”) to perform portions of the Services, including but not limited to BGA rework, soldering, testing, or inspection. Thermetery may share limited technical information that cannot be traced to the Client with such Subcontractors solely as necessary to perform the Services. No personally identifiable information (PII) will be shared to Subcontractors without prior consent of the Client. All Subcontractors are bound by confidentiality and workmanship standards consistent with Thermetery’s internal policies. Thermetery remains responsible to the Client for the overall performance and quality of the Services, as if performed directly by Thermetery.
14. Business and Research Only
Thermetery’s products and services are provided exclusively for business, institutional, and research purposes. They are not designed, marketed, or sold for personal, household, or consumer use.
By placing an order, the Client represents and warrants that:
- The Client is acting on behalf of a professional project, a research organization, or business entity, and not as a private consumer.
- The Client has reviewed the technical specifications and understands that Thermetery’s modified or reworked components may require advanced handling, installation, or cooling methods from a sophisticated user with knowledge of computer hardware that is beyond typical consumer standards.
- The Client will use the products solely in a professional or experimental capacity, and in compliance with all applicable safety, electrical, and import regulations.
- The Client accepts that consumer-protection laws or “cooling-off periods” that apply to retail transactions do not apply to these purchases.
The Client further acknowledges that the purchase of Thermetery’s service is a commercial and non-consumer transaction under the laws of People’s Republic of China. Thermetery reserves the right to refuse, cancel, or refund any order if there is reason to believe the purchase is being made for personal or household use.
15. Compliance and Export Control
The Client is responsible for ensuring that importing, possessing, or operating the Deliverables complies with their applicable national and local regulations. Any re-export or third-country shipment is at the Client’s sole responsibility and risk.
16. Privacy and Data Protection
Thermetery collects only such personal information as is necessary to process Orders and shipments. We never sell any personal information to anyone, and we do not share any personal information to any third parties, except:
a) we share the Client’s name, address, phone number, and email address to our logistics partners to deliver the Deliverable and to make accurate declarations at customs;
b) we share the Client’s name, address, phone number, and email address to the customs or relevant regulatory authorities for declaration.
c) we might share non-identifiable information of the order to our third party contractors.
No other forms of disclosure of personal data will be made by us without written consent of the Client or as mandated by law.
When multiple Clients request combined shipments, written authorization from each Client is required.
17. Force Majeure
Thermetery is not liable for delays or failure to perform resulting from events beyond its reasonable control, including natural disasters, transportation disruption, regulatory actions, or component shortages.
18. Dispute Resolution and Governing Law
These Terms and any dispute arising from or relating to them shall be governed by and construed in accordance with the laws of the People’s Republic of China, without giving effect to principles of conflicts of law.
Any domestic dispute shall be submitted exclusively to the People’s Court of Shanghai, or, by mutual agreement, to arbitration before the Shanghai International Economic and Trade Arbitration Commission (SHIAC) in Shanghai.
All international disputes all be submitted exclusively to the Hong Kong International Arbitration Centre (HKIAC). The arbitral award shall be final and binding on both parties. The Client acknowledges that by engaging in an international transaction with Thermetery, they are waiving their rights to sue in their local jurisdiction.
19. Interpretation and Severability
If any provision is found invalid or unenforceable, the remaining provisions remain in full force.
Headings are for convenience only and do not affect interpretation.
19. Entire Agreement and Amendment
These Terms, together with any written quotation or Order acknowledgment, constitute the entire agreement between Thermetery and the Client.
No amendment is effective unless in writing and accepted by both parties.
20. Language
This document is written in English.
A Chinese translation may be provided for convenience; in case of inconsistency, the Chinese version shall prevail for interpretation under PRC law.
